企业合同管理的意义及背景

企业合同管理,是指企业按照合法、合规、科学的标准,对企业合同的草拟、修改、审査、签署、履行、争议纠纷处理以及保管、归档等内容进行规范化管理的活动,达到防控企业法律风险,维护企业合法权益的目的。根据《企业内部控制应用指引16号合同管理》(财会(2010)11号)及财政部会计司的有关解读,合同管理可以分为合同订立阶段的管理和合同履行阶段的管理两个阶段,合同订立阶段包括合同调查、合同谈判、合同文本拟定、合同审批、合同签置等环节,合同履行阶段包括合同履行、合同补充和变更、合同结算、合同登记等环节。
